Agreement governing the use of this website, intellectual property, disclaimers, liability, and governing law (Liechtenstein / Vaduz).

1. Acceptance of Terms

By accessing or using this website (“Site”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Site. If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.

2. Scope and Relationship to Other Agreements

These Terms govern your informational use of the Site. Any professional services provided by GRUHS AG are governed by separate written agreements; where those conflict with these Terms, the service agreements prevail.

3. Changes to the Terms

We may revise these Terms from time to time. The “Last updated” date indicates the latest version. Your continued use of the Site following updates constitutes acceptance of the revised Terms. Material changes will be highlighted on this page.

4. Acceptable Use

You may use the Site only in compliance with applicable laws and these Terms. You must not: (a) interfere with or disrupt the operation of the Site; (b) attempt unauthorized access; (c) test, scan, or circumvent security or authentication measures; (d) upload or distribute malware, spam, or unlawful content; (e) copy, frame, scrape, index, or mirror any part of the Site except as permitted by law.

5. No Advice

Content on the Site is provided for general informational purposes only and does not constitute legal, tax, accounting, financial, cybersecurity, or other professional advice. Do not make decisions based solely on Site content; seek appropriate professional advice.

6. Intellectual Property

The Site and all content, features, and functionality (including text, graphics, logos, images, code, and layouts) are owned by or licensed to GRUHS AG and protected by intellectual property laws. You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Site for its intended informational purpose. Any other use (including reproduction, modification, distribution, or public display) requires prior written consent. Trademarks, service marks, and logos are the property of their respective owners.

7. User Submissions & Feedback

If you submit materials, feedback, or suggestions (“Feedback”), you grant GRUHS AG a worldwide, royalty-free, perpetual, irrevocable license to use and incorporate such Feedback without restriction. You warrant you have the necessary rights, and that your submissions do not infringe third-party rights or contain unlawful content.

8. Third-Party Links & Services

The Site may reference or link to third-party websites or services. We do not control and are not responsible for third-party content, products, or practices. Accessing third-party resources is at your own risk and may be subject to their terms and privacy policies.

9. Privacy & Data Protection

Our processing of personal data is described in the /privacyPrivacy Policy. As GRUHS AG is established in Liechtenstein (EEA), we operate under the EU/EEA GDPR; where applicable, the Swiss Federal Act on Data Protection (nFADP) also applies. 10. Confidential Information

Unless expressly agreed in a separate NDA or services agreement, please do not share confidential or sensitive information via the Site. If you do, it is at your own risk and without obligations on GRUHS AG beyond applicable law and our Privacy Policy.

11. Export Controls & Sanctions

You must not access or use the Site in violation of applicable export control, sanctions, or trade laws. You represent that you are not a restricted party and will not use the Site for prohibited purposes.

12. Disclaimers

The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that content will be accurate or current.

13. Limitation of Liability

To the maximum extent permitted by applicable law, GRUHS AG and its directors, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenues, data, goodwill, or business interruption, arising out of or related to these Terms or the Site, even if advised of the possibility of such damages.

Subject to mandatory law, our aggregate liability for all claims relating to the Site shall not exceed CHF/EUR 100 or the minimum amount mandated by law, whichever is higher. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, wilful misconduct, gross negligence, or liability that cannot be excluded under mandatory law.

14. Indemnification (Business Users)

If you use the Site on behalf of a business, you agree to indemnify and hold harmless GRUHS AG from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Site or breach of these Terms.

15. Suspension & Termination

We may suspend or terminate access to the Site at any time with or without cause, including for actual or suspected breach of these Terms, unlawful conduct, or risks to the Site’s security or integrity.

16. Governing Law & Jurisdiction

These Terms and your use of the Site are governed by the laws of Liechtenstein, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Vaduz, Liechtenstein.

If you are a consumer residing in the EEA or Switzerland, mandatory consumer protection rules of your country of residence may grant you additional rights that are not waived by this clause.

17. Electronic Communications

You consent to receive electronic communications from us (e.g., via the Site or email) and agree that such communications satisfy any legal requirement that communications be in writing.

18. Miscellaneous

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
No Waiver: Failure to enforce any provision is not a waiver of that provision.
Assignment: You may not assign or transfer rights or obligations under these Terms without our prior written consent; we may assign in connection with corporate transactions.
Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control (e.g., acts of God, cyberattacks, outages, regulatory actions).
Entire Agreement: These Terms constitute the entire agreement regarding Site use and supersede prior understandings on this subject.
Language: The English version governs.
